Terms of Service
Please read these Terms carefully. If you live in the United States, Section 19 requires most disputes to be resolved by individual binding arbitration and waives class actions and jury trials, unless you opt out within 30 days as explained in Section 19.8.
1. Who we are and what these Terms cover
1.1These Terms of Service ("Terms") are a binding agreement between you and Reputable Labs Inc., a Delaware corporation doing business as Reputable Health, 251 Little Falls Drive, Wilmington, DE 19808, USA ("Reputable", "we", "us").
1.2These Terms govern your access to and use of our websites, meaning reputable.health, its subdomains, and any other website, study page or landing page we operate that links to these Terms (a current list is on our Service Providers and Domains page), our participant app, participant dashboard, research community and related messaging, kits, devices and services (together, the "Platform").
1.3These Terms work together with the following documents, each of which forms part of your agreement with us: our Privacy Policy, our Consumer Health Data Privacy Policy, our Cookie Policy, our Acceptable Use Policy, and the Messaging (SMS) Terms in Schedule 1. Optional consents you give (for example, a Photo and Likeness Release) are separate and apply only if you give them.
1.4Studies are governed by their own consent form. When you join a research study run or coordinated through the Platform (a "Study"), you will be asked to sign an informed consent form approved by an institutional review board or research ethics committee (a "Consent Form"). The Consent Form governs your participation in that Study, including what data is collected, how it is used, the risks, compensation and what happens if you are injured. If these Terms and a Consent Form conflict on a matter concerning a Study, the Consent Form controls. Nothing in these Terms waives or limits any right you have under a Consent Form or under the laws and regulations that protect research participants.
2. Eligibility and accounts
2.1You must be at least 18 years old, and at least the age of majority where you live, to create an account or join a Study. The participant Platform is open to residents of the United States and, for Studies open to Canadian residents, Canada other than Quebec. Residents of Quebec, the European Economic Area, the United Kingdom and other countries cannot currently create accounts or join Studies. Each Study states which countries it is open to. We do not knowingly allow anyone younger to register. If we learn that a person under the required age has registered, we will close the account and delete their information as described in our Privacy Policy.
2.2Individual Studies may have additional eligibility criteria set by the Study protocol. Meeting the Platform's eligibility requirements does not guarantee eligibility for, or a place in, any Study.
2.3You may hold only one account. You must give accurate, current and complete information, including about your health history, medications and eligibility, and keep it up to date. You are responsible for keeping your login credentials secure and for activity under your account. Tell us promptly at legal@reputable.health if you suspect unauthorised access.
2.4You may not register on behalf of someone else, use a false identity, or create multiple accounts. Misrepresenting eligibility can put your health and the integrity of research at risk.
3. What the Platform is, and is not
3.1The Platform lets you join our research community, screen for and take part in Studies, connect wearable devices and health apps, complete surveys and assessments, receive study kits and products, view your data and, where offered, receive general wellness insights.
3.2Not medical care. Reputable is a research organisation. It is not a healthcare provider, and the Platform does not provide medical advice, diagnosis or treatment. Insights, scores, dashboards, reports and any automated or AI-assisted content are for general information and research purposes only. Lab and biomarker results provided through a Study may be research-grade and not suitable for clinical decisions unless the Consent Form says otherwise. Always consult a qualified healthcare professional about your health, and before starting, stopping or changing any medication, supplement or treatment.
3.3Emergencies. Do not use the Platform for emergencies. If you think you may be having a medical emergency, call your local emergency number immediately. To report a side effect or health problem during a Study, follow the instructions in your Consent Form and contact the Study team.
3.4The Platform is not a medical device and our insights are not intended to diagnose, cure, mitigate, treat or prevent any disease.
4. Taking part in Studies
4.1Voluntary participation. Taking part in any Study is voluntary. You may decline or withdraw from a Study at any time, as described in the Consent Form, without penalty or loss of benefits you are otherwise entitled to.
4.2Study Sponsors. Most Studies are funded by a company (a "Sponsor"), typically the brand or ingredient manufacturer whose product is being studied. Reputable designs and manages Studies on behalf of Sponsors. The Consent Form identifies the Sponsor where required and explains what information the Sponsor receives.
4.3What we ask of you in a Study. While you remain in a Study, we ask you to follow the Study instructions to the best of your ability, including taking the study product as directed, wearing devices, completing surveys and sample collections, and reporting side effects, changes in health or medications, and any pregnancy as described in the Consent Form. This does not limit your right to stop taking the product or withdraw at any time. You agree not to share, sell or give away study products, and not to take part in another study at the same time if the Consent Form prohibits it.
4.4Products. Study products are manufactured and supplied by or for the Sponsor, not by Reputable. Use them only as directed. Stop use and contact the Study team if you have a reaction. Some Studies use a placebo, and you may not be told which product you receive.
4.5Kits, devices and samples. We may send you collection kits, lab requisitions or devices. Follow the kit instructions and ship samples as directed. Devices we lend you remain our property (or the Sponsor's) and must be returned as described in the Study instructions; devices we state you may keep become yours on completion. Information about the handling, testing, storage and destruction of biological samples is set out in the Consent Form.
4.6Compensation. Any compensation, product, gift card or other benefit for participating is set out in the Study listing or Consent Form. Unless the Consent Form states otherwise: compensation is earned for the Study activities you actually complete; we may withhold or recover compensation obtained through knowingly false eligibility information, deliberate duplicate accounts, fabricated data or other fraud, as the Consent Form also explains; and compensation may be reportable income. We may ask you for tax information where the law requires it.
4.7Research injury. What happens if you are injured as a result of a Study, including any medical care or compensation available, is set out in the Consent Form. Nothing in these Terms limits those provisions or requires you to waive any legal right in relation to research injury.
4.8Study results and publication. Study results may be published, shared with the Sponsor, used in regulatory submissions or used to support product claims. Published results will not identify you unless you have given separate written permission.
5. Connected devices and third-party services
5.1You may connect third-party wearables and health apps (for example Oura, WHOOP, Apple Health, Garmin, Fitbit or Google Health Connect). Connecting is optional unless it is a requirement of a Study you choose to join. You authorise us to receive the data categories shown on the connection screen and in our Privacy Policy, and you can disconnect at any time in your settings or in the third-party service.
5.2Third-party services are governed by their own terms and privacy policies. We are not responsible for their availability, accuracy or practices.
6. Your data
6.1Our Privacy Policy explains how we collect, use and disclose personal information, including health information. Our Consumer Health Data Privacy Policy provides additional information for residents of Washington, Nevada, Connecticut and other states with consumer health data laws.
6.2De-identified and aggregated data. We may create de-identified or aggregated data from Platform and Study data (data processed so that it cannot reasonably be used to identify you) to improve the Platform, support research and publish aggregate findings, as described in the Privacy Policy. We publicly commit not to attempt to re-identify de-identified data. We do not currently license or sell de-identified data to third parties. If we ever propose to, we will first ask for your separate, optional consent, and declining will not affect your use of the Platform or your eligibility for Studies.
6.3We do not sell your personal health information. We do not sell identifiable consumer health data, and we do not use your health data for targeted advertising. The only exception is a photo, quote or recording that you personally choose to release to a named Sponsor by signing a Photo and Likeness Release, which acts as your written authorization where the law requires one.
6.4Photos and likeness. Some Studies (for example skin or appearance studies) collect photographs for research endpoints as described in the Consent Form. We and the Sponsor will not use your photos, name, likeness, voice or story for marketing or advertising unless you sign a separate, optional Photo and Likeness Release for that Study.
7. Communications
7.1Service messages. By creating an account you agree that we may send you service, account, security, study and transactional messages by email and in-app notification. Essential account and safety messages are sent by email or in-app while you hold an account. We send text messages only if you have given us your mobile number and consented, and you may stop texts at any time.
7.2Marketing and study invitations. We will send you newsletters, promotional messages or invitations to new Studies only with your consent or where otherwise permitted by law, and by SMS only with your separate express written consent. You may unsubscribe at any time using the link or instructions in the message or in your settings.
7.3SMS. Text messaging is governed by the Messaging (SMS) Terms in Schedule 1.
8. Your content, feedback and testimonials
8.1"Your Content" means content you submit through the Platform, such as survey responses, diary entries, comments, photos and messages. As between you and us, you own Your Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process and display Your Content solely to operate the Platform, conduct Studies you join, and for the other purposes described in our Privacy Policy and in any consent you give. This licence does not permit us to use Your Content for advertising or marketing, or to identify you publicly, without your separate permission.
8.2Feedback. If you send us suggestions or feedback about the Platform, we may use it without restriction or payment to you, provided that we will not publish it in a way that identifies you without your permission.
8.3Reviews and testimonials. We will publish your review or testimonial, or pass it to a Sponsor for publication, only with your separate permission. Because Study participants may receive free products or compensation, any published testimonial must disclose that connection as required by consumer protection and advertising laws (including the US Federal Trade Commission's guides on endorsements). You agree that any review you post about a study product will be honest, reflect your genuine experience, and disclose that you received the product through a Study.
9. Acceptable use
You must comply with our Acceptable Use Policy. In particular, you must not falsify data, misrepresent eligibility, open multiple accounts, share study products, attempt to unblind a Study, disclose confidential Study information, scrape or reverse engineer the Platform, or use it for any unlawful purpose.
10. Confidential Study information
Some Study materials (for example unpublished protocols or product formulation information) are confidential. The identity of the Sponsor that receives your data is not confidential as against you, and you may ask us for it at any time. If you are told information is confidential, you agree not to disclose it or post about it publicly until it is made public by us or the Sponsor. This does not restrict you from discussing your own health, your experience with your healthcare providers, or from communicating with an ethics committee, regulator or law enforcement agency.
11. Our intellectual property
The Platform, including its software, design, text, graphics, trademarks, study methodologies and templates, is owned by Reputable or its licensors and is protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Platform, and to download and use our app on devices you own or control, for your personal, non-commercial use. All rights not expressly granted are reserved.
12. Mobile app store terms
If you download our app from the Apple App Store or Google Play, the store's standard terms also apply. For apps obtained from Apple: these Terms are between you and Reputable only, not Apple; Apple has no obligation to provide maintenance or support; Apple is not responsible for any product claims, IP infringement claims or warranty claims relating to the app; and Apple and its subsidiaries are third-party beneficiaries of these Terms with the right to enforce them against you.
13. Changes, suspension and termination
13.1We may change or discontinue features of the Platform. We will give reasonable advance notice of changes that materially reduce your rights, where practicable.
13.2You may close your account at any time in your settings or by contacting us. Closing your account does not automatically withdraw you from a Study in progress; please follow the withdrawal process in the Consent Form. Data retention after closure is described in our Privacy Policy.
13.3We may suspend or close your account, or remove you from a Study where the protocol and Consent Form allow, if you breach these Terms, provide false information, engage in fraud, pose a risk to others or the integrity of research, or if required by law. Where reasonable we will tell you why and give you an opportunity to respond. Removal from a Study will be handled in line with the Consent Form and applicable research regulations.
13.4Sections that by their nature should survive termination (including 4.6 recovery of compensation obtained by fraud, 8 (only for Study records we are required to retain), 10, 11, 14 to 21) survive.
14. Disclaimers
14.1To the fullest extent permitted by law, the Platform and all content, insights and materials are provided "as is" and "as available". We do not warrant that the Platform will be uninterrupted, error-free or secure, or that insights or results will be accurate or complete, or that any product studied will have any particular effect.
14.2Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you. If you are a consumer in the European Union, United Kingdom, Canada, Australia or another jurisdiction with mandatory consumer protections, nothing in these Terms affects your statutory rights.
15. Limitation of liability
15.1To the fullest extent permitted by law, Reputable and its officers, employees, agents and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, data or goodwill, arising out of or relating to the Platform or these Terms.
15.2To the fullest extent permitted by law, our total liability arising out of or relating to the Platform or these Terms is limited to the greater of (a) US $100 and (b) the total compensation paid or payable to you by us in the 12 months before the event giving rise to the claim.
15.3What we do not limit. Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for gross negligence or wilful misconduct, or any right or remedy you have under a Consent Form or under laws protecting research participants.
16. Indemnity
To the extent permitted by law, you agree to indemnify Reputable against third-party claims arising from your fraud, intentional misuse of the Platform, or intentional violation of these Terms or the rights of a third party. This section does not apply to consumers in jurisdictions where such indemnities are not permitted, and does not apply to any claim relating to your participation in a Study in good faith.
17. Governing law
17.1United States. If you live in the United States, these Terms are governed by the Federal Arbitration Act and the laws of the State of Delaware, without regard to conflict of laws rules, except where the law of your state of residence mandatorily applies.
17.2Outside the United States. If you live outside the United States, these Terms are governed by the laws of the State of Delaware, but you keep the protection of any mandatory provisions of the law of the country, province or territory where you live, and you may bring proceedings in the courts where you live.
18. Informal dispute resolution (US residents)
If you live in the United States, before starting any arbitration or court proceeding (other than in small claims court), you and we agree to try to resolve the dispute informally. The party raising the dispute must send a written notice describing the claim and the relief sought: to us at legal@reputable.health or our postal address, or to you at the email address on your account. Both parties will negotiate in good faith for 60 days after notice is received, which may include a telephone call if either party requests it. Limitation periods are suspended during this 60-day period.
19. Arbitration and class action waiver (US residents only)
19.1Scope. If you live in the United States, you and Reputable agree that any dispute, claim or controversy arising out of or relating to these Terms or the Platform ("Dispute") will be resolved by final and binding individual arbitration, except as set out in 19.3.
19.2Rules and administrator. Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules and, where applicable, its Mass Arbitration Supplementary Rules, in effect when the arbitration is filed. The arbitration will take place in the county where you live or by video conference, and the arbitrator may award any individual relief a court could award. Reputable will pay filing, administration and arbitrator fees as required by the AAA rules, and will pay any fees that would otherwise make arbitration cost-prohibitive for you.
19.3Exceptions. Either party may bring an individual claim in small claims court if it qualifies. Either party may seek injunctive relief in court for infringement or misuse of intellectual property. This Section does not apply to claims for personal injury or death arising from a Study, to any right you have under a Consent Form or under human-subject protection regulations, or to any claim that cannot be subject to pre-dispute arbitration under applicable law.
19.4Class action and jury waiver. You and Reputable may bring claims against each other only in an individual capacity and not as a plaintiff or class member in any purported class, collective or representative proceeding. The arbitrator may not consolidate claims of multiple people or preside over any form of class or representative proceeding, except as provided for mass filings under 19.5. To the extent any Dispute proceeds in court, you and Reputable each waive any right to a jury trial where the law permits.
19.5Mass filings. If 25 or more similar demands are filed by or with the assistance of the same law firm or coordinated group, the AAA Mass Arbitration Supplementary Rules will apply. Any bellwether or batching process will not bind claimants whose claims are not decided in it, and limitation periods for all claims will be suspended while claims await administration.
19.6Public injunctive relief. Nothing in this Section waives your right to seek public injunctive relief where that right cannot be waived under applicable law; any such claim will be severed and stayed pending the individual arbitration.
19.7Severability. If the class action waiver in 19.4 is found unenforceable for any claim, that claim must be severed and decided by a court, not an arbitrator, and the rest of this Section will remain in effect.
19.830-day right to opt out. You may opt out of this arbitration agreement by sending an email to legal@reputable.health from the email address on your account, with the subject line "Arbitration Opt-Out", or by letter to the postal address in Section 21.6 stating your name, account email and that you opt out of arbitration, within 30 days after you first accept these Terms (including any re-acceptance of these Terms by an existing user). Opting out will not affect any other part of these Terms or your use of the Platform.
19.9Changes to this Section. If we change this Section, the change will not apply to any Dispute of which we had written notice before the change, and you may reject the change by notifying us within 30 days of the change.
20. Changes to these Terms
We may update these Terms from time to time. If a change materially affects your rights, we will notify you by email or in the app at least 30 days before it takes effect, unless the change is required sooner by law, and we will ask you to accept the change affirmatively. Our notice will set out the new clause (and, where required by law, including in Quebec, the clause as it read before), the date the change takes effect, and your right to close your account without cost or penalty. Changes will not apply retroactively. If you do not agree to a change, you may close your account before it takes effect. For changes that are not material, continuing to use the Platform after the effective date means you accept them.
21. General
21.1Entire agreement. These Terms, together with the documents referred to in Section 1.3 and any Consent Form or optional consent you sign, are the entire agreement between you and us about the Platform.
21.2Assignment. You may not transfer these Terms. We may transfer them in connection with a merger, acquisition or sale of assets, subject to our Privacy Policy and applicable law.
21.3Severability and waiver. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
21.4Export and sanctions. You represent that you are not located in, or ordinarily resident in, a country subject to comprehensive US sanctions and are not on any US government restricted-party list.
21.5Language. These Terms are written in English. Where we provide a translation, and to the extent the law of your place of residence requires, the translated version will prevail for you.
21.6Notices. We may give you notices by email, in-app message or by posting on the Platform. Legal notices to us must be sent to legal@reputable.health and to 251 Little Falls Drive, Wilmington, DE 19808, USA, attention Legal.
21.7Contact. Questions about these Terms: legal@reputable.health.
Schedule 1: Messaging (SMS) Terms
S1.1Program. Reputable Health Study Messages. If you opt in, we send text messages about your account, Study screening and enrolment, appointment and task reminders (for example surveys, product doses, sample collection and kit shipping), device sync alerts and support. If you separately opt in to marketing texts, we may also send invitations to new Studies and community updates.
S1.2Consent. Consent to receive texts is not a condition of joining the Platform or any Study, or of purchasing anything. Where a Study requires timely reminders, we will offer an alternative channel (email or in-app) if you do not want texts.
S1.3Frequency and cost. Message frequency varies with your Study schedule. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.
S1.4Opt out and help. Reply STOP to any message to stop all texts from us (you may also use words such as END, CANCEL, UNSUBSCRIBE or QUIT, or tell us by any other reasonable means, such as email or a request in the app). We may send one confirmation message, which may ask whether you want to keep receiving Study reminders only; if you do not reply to keep them, all texts stop. We honour opt-outs promptly and in any event within 10 business days, or sooner where the law requires. Reply HELP for help or contact legal@reputable.health. If you stop texts, we will send Study reminders by email or in the app instead.
S1.5Quiet hours. We send non-urgent texts only between 8 a.m. and 8 p.m. in your local time zone, or narrower hours where your local law requires.
S1.6Marketing texts. Marketing texts (if you separately consent to them) may be sent using automated technology, are sent by Reputable Labs Inc. (Reputable Health), and are limited to no more than 3 per 24 hours.
S1.7Privacy. We do not share or sell your mobile number or SMS opt-in consent with third parties for their marketing purposes. Information collected through texting is handled under our Privacy Policy.
S1.8Supported carriers and changes. Supported carriers may change. You must tell us if you change or give up your mobile number.
